By accessing our website or submitting an enquiry, you confirm that you accept these Terms. These Terms are governed by the laws of England and Wales.
2. Services
2.1 Ciatel Corp Ltd provides AI and technology services to business clients, including:
- AI Receptionist (Arno) — an AI-powered phone answering service that handles inbound calls, books appointments, and delivers monthly call reports, available on a monthly subscription basis.
- AI Agents — bespoke AI automation agents built to a client's specification, including lead qualification bots, support agents, inbox responders, and workflow automations.
- Database Assessment — expert review of database infrastructure with a written report covering performance, cost, and security recommendations.
2.2 All services are provided on a business-to-business (B2B) basis only. We do not contract with consumers.
2.3 The scope of each engagement is defined in a written quote or proposal agreed between both parties. No services will commence until scope and price are confirmed in writing.
2.4 We reserve the right to decline any enquiry at our sole discretion.
3. Enquiries and Quotes
3.1 Submitting an enquiry form or booking a discovery call does not constitute a contract or commitment on either side.
3.2 We aim to respond to enquiries within 24 hours on UK business days (Monday–Friday, excluding UK public holidays).
3.3 Quotes and proposals are valid for 30 calendar days unless otherwise stated.
3.4 A quote becomes binding only when you provide written acceptance and we confirm commencement in writing.
4. Pricing and Payment
4.1 All prices are stated in GBP (£) and are exclusive of VAT unless otherwise stated. Where VAT applies, it will be added at the prevailing UK rate.
4.2 AI Receptionist (Arno): Billed monthly in advance. The subscription fee is due at the start of each billing period. Overage charges (where applicable on the Growth plan) are invoiced monthly in arrears.
4.3 AI Agents and Database Assessment: Billed on a fixed-fee basis as stated in the quote. Standard terms are 50% deposit before work commences, with the remaining 50% due upon delivery of the agreed deliverable.
4.4 Indicative pricing on this website is a starting guide only. Final pricing is confirmed in a written quote.
4.5 Invoices are payable within 14 days of the invoice date unless otherwise agreed in writing.
4.6 Late payments will incur statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998, currently 8% per annum above the Bank of England base rate, plus reasonable debt recovery costs.
5. Confidentiality
5.1 We will treat all information you share with us as strictly confidential and will not disclose it to any third party except as strictly necessary to provide the services or as required by law.
5.2 You may request a mutual non-disclosure agreement (NDA) before any work begins. We will not begin work that requires access to sensitive systems without a signed NDA in place.
5.3 Our confidentiality obligations survive termination of any agreement for a period of three years.

6. Intellectual Property
6.1 Upon receipt of full payment, any bespoke deliverable (assessment report, custom AI agent build) becomes your property for internal business use.
6.2 We retain ownership of all underlying methodologies, frameworks, templates, software libraries, and pre-existing intellectual property used in or to deliver the services.
6.3 For the AI Receptionist (Arno) subscription, we grant you a non-exclusive, non-transferable licence to use the service for the duration of your active subscription. The service and all underlying software remain our property.
6.4 You must not resell, sublicense, or commercially exploit our deliverables or services without our prior written consent.
6.5 All website content is owned by or licensed to Ciatel Corp Ltd and is protected by copyright and other intellectual property laws.
7. Your Responsibilities
7.1 You agree to provide accurate, complete, and truthful information throughout our engagement.
7.2 You confirm you have authority to share any business or infrastructure information with us and that doing so does not breach any third-party obligations.
7.3 For AI Receptionist: you are responsible for ensuring your use of the service complies with applicable laws including the Telephone Preference Service (TPS) rules, the Privacy and Electronic Communications Regulations 2003, and any sector-specific regulations applicable to your business.
7.4 You agree to use our website and services only for lawful purposes and must not use them to transmit harmful, unlawful, or fraudulent material.
7.5 You are responsible for maintaining accurate call forwarding and phone system configuration required for the AI Receptionist service to function.
8. Limitation of Liability
8.1 Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law.
8.2 Subject to clause 8.1, our total aggregate liability to you in connection with any services, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by you to us in the three months preceding the event giving rise to the claim.
8.3 We are not liable for any indirect, consequential, incidental, or special loss; loss of profit; loss of revenue; loss of anticipated savings; loss of data; or business interruption — even if we have been advised of the possibility of such loss.
8.4 Our assessment reports and AI agent outputs are advisory in nature. We do not guarantee any specific outcome, performance improvement, cost saving, or business result.
8.5 Our AI Receptionist service depends on third-party telephony and AI infrastructure. We are not liable for outages or failures caused by third-party providers (including Twilio and OpenAI), provided we take reasonable steps to restore service.
9. Warranties and Disclaimers
Our services are provided with reasonable skill and care in accordance with the Supply of Goods and Services Act 1982. To the extent permitted by law, all other warranties, representations, or conditions (whether express or implied) are excluded.
We do not warrant uninterrupted or error-free website access or service availability, though we will take reasonable steps to maintain service levels.
10. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK GDPR and the Data Protection Act 2018. Where we process personal data on your behalf as part of delivering our services, we will enter into a data processing agreement with you upon request.
11. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising from or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top will reflect any changes. Continued use of our website or services after changes constitutes acceptance of the revised Terms. For material changes, we will provide reasonable notice where practicable.
